Abstract
Penelitian ini bertujuan untuk mengetahui pengaturan joint venture enterprise agrment antara investor asing dengan investor nasional berdasarkan hukum positif di Indonesia, perosedur investasi melalui joint venture enterprise agreement dan penyelesaian sengketa. Penelitian ini menggunakan metode Pendekatan Perundang-undangan. Hasil penelitian pengaturan Joint venture enterprise agreement diatur dalam UUPM dan penyelesaian sengketa para pihak, tergantung dari kesepakatan para pihak dalam pilihan hukum yang disepakati. Kesimpulan joint venture enterprise agreement termuat dalam Pasal 1 point 3 UUPM dijabarkan dalam Pasal 5 Ayat (2) UUPM. Penanaman modal asing wajib dalam bentuk perseroan terbatas berdasarkan hukum Indonesia dan berkedudukan di dalam wilayah Negara Republik Indonesia, kecuali ditentukan lain oleh undang-undang. Kata Kunci : Pengaturan, Prosedur dan Penyelesaian sengketa. THE JOINT VENTURE ENTERPRISE AGREMENT BETWEEN FOREIGN INVESTORS AND NATIONAL INVESTORS ACCORDING TO POSITIVE LAW To know this research aimed at setting a joint venture of enterprise agrment between foreign investors with investors national based on positive law in indonesia perosedur investment through a joint venture of enterprise agreement and settlement of the dispute. This research using methods approach of legislation. An research result of setting a joint venture of enterprise agreement arranged in uupm the parties, and settlement of the dispute hanging from the agreement of the parties in the choice of law were approved. Conclusion a joint venture of enterprise agreement is contained in article 1 point 3 UUPM elaborated in article 5 subsection ( 2 ) UUPM. Foreign capital investment obliged in the form of a limited liability company based on indonesian law and domiciled in within the territory of the republic of indonesia except otherwise stated by legislation.
